New Wave and Playstar engage in final discussions to merge and create a dominant worldwide SMS corporation

TORONTO, May 11 /PRNewswire-FirstCall/ - New Wave Media Inc. (OTC: NWWV.PK - News) - is pleased to announce the framework for an agreement with Playstar Corp. (OTC: PLYCF.PK - News) to merge the 2 entities. Playstar shareholders will receive .8 of a share and New Wave shareholders 1 full share in the merged entity

The merged entity would fall under the New Wave umbrella and all financial audited statements of New Wave would be filed and the merged entity will file for an OTCBB listing once all paperwork is complete. Once the merger is complete the new entity will have a corporate structure of 334 million shares outstanding. There will be a shareholder meeting to increase the authorized to 400 million with no further increase needed for the foreseeable future. An Executive Stock Options Plan, Warrants, and a Performance Based Options Plan will also be announced after the merger is complete.
Stewart Garner, President of Playstar stated: "These are exciting times upon us, what we have created is the ability to take Playstar's multiple proprietary platforms and merge it with New Wave's joint venture partners throughout the world and create a substantial player in this growing sector. This merged entity will be worked on by our lawyers and we aim to close in the next 60 days. A New Wave, Playstar merger would allow both companies to operate under one roof resulting in streamlined processes, shared resources and a reduction in overhead."
When asked to comment on the merger Marc Askenasi, President of WagerPhone Inc. stated: "The ability to expand our global reach by adding new products to our portfolio is a great opportunity for our company. The New Wave, Playstar merger will assist us in achieving our financial and strategic growth objectives."
Any new developments within either corporation will be released jointly. Both corporations continue to work on business development and acquisition opportunities and look forward to sharing these developments in the near future.

Frankiy excellent comparison. Glad to see the high volume today without much of a move. For those of you who want to see a short problem on a stock look at the 60 minute chart and the t&s ....and notice how the high volume spikes hardly effected the PPS.
Also notice how the OBV and the Money Flow are rising. I'm waiting for the Green Aroon line to rise...and the CMF is getting close to going positive.

Eine Gruppe, die intensiven Kontakt mit NWWV und PLYCF CEO hält, hat dies rausgehört.
Dann sollte mit ein wenig Glück ein Squeez entstehen.

Die News blieben aus. Per Messenger kam: Sie seien wegen dem Feiertag am kommenden Monatg auf Dienstag verschoben.
Dann bleibt es bis dahin mal zu warten.
Was ich mich auch frage und bisher keine Antwort gefunden habe:
Es soll ein Shortsqueez anstehen, weil viele naked short seien.
Der Squeez würde durch eine Divi oder einen Cusip-Change ehermöglich sein, weil die Shorts covern müssten.
Im März gab es schon einen Cusip-Change von NWWM zu NWWV. Das nun seit dem so viele wieder naked sind, kann ich mir momentan nicht vorstellen.
Ich warte jetzt noch bis zu den News, die am Dienstag kommen sollen.

Sitting at the Miami airport waiting
for a flight to Latin America for the fourth time this year, Marc Askenasi thumbs through his passport. "One stamp a deal," he says: "Peru, Ecuador, Brazil, Tanzania."
Mr. Askenasi has never stopped playing for broke. Through soccer pro to business leader, the motivation and model holds fast. The 25-year-old heads up Wagerphone, a Toronto-based firm that is revolutionizing lotteries worldwide. His sports background has helped him challenge accepted business models.

Eight years ago, as an up-and-coming soccer player, he set off to Europe. Still too young to party with the big boys, he was thrown into cramped living quarters with his chaperon coach. He toured Italy, Spain, France, and Holland playing in leagues where the average player was 10 years his senior. "Players where not only bigger but much tougher. I had to compete both physically and mentally."
Mr. Askenasi was beachwarming early in the season with his team down 1-0. With minutes to go, a player was injured and he was pulled into the game. In the first play, a defender elbowed his face breaking his tooth. That was the beginning of a bloody initiation, he recalls. "I found myself trying to beat that same player in the air and on my way down he landed on my foot breaking my toe. 'Welcome to Holland' he told me."
"With 10 minutes left in the game I had a choice: quit or play through the pain. I stayed on, toughed it out. I managed to take the ball from our end and made a 30-yard pass to our striker to score the tying goal. "I earned my spot on the team, the respect of my coaches and players along with the right to play the next three months with a broken toe.
"Sport for me was more about being able to achieve something that was far beyond my immediate skill set. It was a continual challenge: playing and being
pushed by bigger guys," Mr. Askenasi says in response to a reference to him being a proverbial Rocky Balboa.
That could also describe how he built his lottery business. In 2001, he and four McGill University team mates crammed into a rented Dodge Impala for a road trip from Montreal to New Orleans for Mardis Gras. They stopped off at the river boat casino on a Mississippi southern river way.
"I was having a crazy lucky streak and could not lose. I made US$1,000 at our first casino in 30 minutes, the same thing happened at the next river boat about a mile down the road. After the third boat, I remember picking up my cellphone to call home and I had a simple but profound realization: Why not gamble on a cellphone? You always have it with you."
Back at school, instead of studying for finals, Mr. Askenasi started looking into the mobile-gaming industry. At the time, there was next to nobody in the space. But within 12 months, there were dozens of companies claiming to offer turnkey services.
Underfunded and a lone wolf, Mr. Askenasi changed his target from offshore gaming to mainstream, regulated lotteries. He realized there were too many barriers to mobilizing online casinos. The content supplier has to port to thousands of handsets, across multiple countries and dozens of telecom carriers. Plus, there is a dependency on casino operators to market the product. It is a tough model, he points out.
"While doing some consulting for gaming, entertainment and e-commerce, I put together a business plan and decided after much research and diligence on the industry to focus exclusively on mobilizing lotteries," Mr. Askenasi says.
Lotteries are a huge, untapped and antiquated industry that needs to start following the consumer by expanding from paper to digital. Although Canadian and U.S. lotteries are slower to embrace this trend, national lotteries in parts of Europe and many developing countries are signing up for his digital lottery platform. Consumers in a growing number of Latin America and African countries are playing their lucky numbers on the phone or the Web thanks to Mr. Askenasi's platform.

I think we could see the 'green trend' in NWWV.
Inverted Head & Showlders, just like the one we had in Feb-Apr, here, with a minimum predicted target of 0.0320-0.0350:
Minimum target is now @0.0485-0.0570 range:

I've bought more shares at the dip, for Flipping. I will keep the other shares for the long run (not long term).
I think that the insiders will grant themselves with Stock Options and Warrants exercisable and convertible at $0.10, and the stock will go a bit over 2x that level.
That is my play, and that is why I stay for. It could take weeks, or it could take months. I've waited YEARS on other stocks, and most of the times, PATIENCE PAYS.
I played HPNN and made lots of flips, last year, but I wasn't patience enough. Finally that stock went up on a x200 BAGGER.
I've held DVPC and accumulated at the bottom, and now is paying for the Patience.
I've been in BKMP for over a year, and I also believe it will pay, but not yet, I suppose, LOL.
About www.otcreporter.com in NWWV, they have been hired to pump the stock, there is no doubt. That is great, just like it was in PLRS. They pumped that stock up to 2x the price of the Warrants. There was also a dip before the real run begun; and then the pumping and the PR Machine went crazy, and made a multibagger to over x2 the price of exercise of the warrants.
Insiders have stock @0.10 here, and I expect at least x2 over that level.
